Non-disclosure Agreement

This Non-disclosure Agreement (the "Agreement") is made and entered into as of this ______ day of ____________, 20____ (the "Effective Date"), by and between [PARTY_NAME1] residing at [STREET_ADDRESS1], [CITY1], [STATE1], [ZIP_CODE1] and [PARTY_NAME2] residing at [STREET_ADDRESS2], [CITY2], [STATE2], [ZIP_CODE2] collectively referred to as the "Parties".

WHEREAS, the Parties intend to engage in discussions, collaborations, or exchanges of confidential information relating to _____________ (the "Purpose");

WHEREAS, the Parties desire to protect the confidentiality of the information exchanged during their engagement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties hereby agree as follows:

1. Confidentiality Obligations:

2. Non-Disclosure and Non-Use:
   The Recipient agrees not to disclose the confidential information to any third party or to use it for any purpose other than the Purpose specified in this Agreement, without the prior written consent of the Disclosing Party.

3. Legal Measures:
   The Recipient shall take all necessary precautions to prevent unauthorized access, use, or disclosure of the confidential information. Any breach of this Agreement may result in legal remedies available to the Disclosing Party.

4. Term and Termination:
   This Agreement shall remain in effect for a period of _______ [DURATION] from the Effective Date and shall survive termination or completion of the Purpose.
