Non-disclosure Agreement

This Non-disclosure Agreement ("Agreement") is made and entered into this ___ day of [MONTH], [YEAR] ("Effective Date"), by and between [PARTY_ONE_NAME], residing at [PARTY_ONE_ADDRESS], and [PARTY_TWO_NAME], residing at [PARTY_TWO_ADDRESS]. 

WHEREAS, the parties anticipate sharing confidential information, including but not limited to trade secrets, business plans, financial data, and technical specifications (collectively referred to as "Confidential Information").

NOW, THEREFORE, in consideration of the premises and promises set forth herein, the parties agree as follows:

1. Confidentiality: Both parties shall maintain the confidentiality of the Confidential Information disclosed by the other party during the term of this Agreement. They shall use such information solely for the purpose of [PURPOSE_OF_AGREEMENT].

2. Non-disclosure: The parties shall not disclose or make available any part of the Confidential Information to any third party without prior written consent from the disclosing party.

3. Exceptions: The obligations set forth in this Agreement shall not apply to any information that: (a) is part of the public domain; (b) is lawfully obtained by a party from a third party without breach of any confidentiality obligation; (c) is independently developed by a party without reference to the Confidential Information; or (d) is required to be disclosed by law.

4. Return of Information: Upon termination of this Agreement, both parties shall promptly return or destroy all physical and electronic copies of the Confidential Information and certify such return or destruction in writing.

5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [GOVERNING_JURISDICTION]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [GOVERNING_JURISDICTION].
