JOINT VENTURE AGREEMENT

THIS JOINT VENTURE AGREEMENT (the "Agreement") is entered into as of the ___ day of ______, 20___ (the "Effective Date"), by and between:

PARTY A, a company organized and existing under the laws of [JURISDICTION], with its principal place of business located at [COMPANY_ADDRESS] ("Party A"); and

PARTY B, a company organized and existing under the laws of [JURISDICTION], with its principal place of business located at [COMPANY_ADDRESS] ("Party B").

1. ESTABLISHMENT OF JOINT VENTURE

1.1 Formation of Joint Venture Entity. The Parties shall cause the Joint Venture Entity to be formed in accordance with the laws of [JURISDICTION], with its registered office located at [REGISTERED_OFFICE_ADDRESS].

5.2 Survival. The obligations of confidentiality set forth in this Agreement shall survive the termination of the joint venture relationship.

6. TERM AND TERMINATION
