            JOINT VENTURE AGREEMENT

THIS JOINT VENTURE AGREEMENT (the "Agreement") is entered into as of the ___ day of ______, 20___ (the "Effective Date"), by and between:

PARTY A, a company organized and existing under the laws of [JURISDICTION], with its principal place of business located at [COMPANY_ADDRESS] ("Party A"); and

PARTY B, a company organized and existing under the laws of [JURISDICTION], with its principal place of business located at [COMPANY_ADDRESS] ("Party B").

WHEREAS, Party A and Party B desire to enter into a joint venture relationship for the purpose of [JOINT_VENTURE_DESCRIPTION]; and

WHEREAS, the Parties intend for the joint venture to be conducted through a separate legal entity to be formed (the "Joint Venture Entity");

NOW, THEREFORE, in consideration of the promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:
