Sublease Agreement

This Sublease Agreement (the "Agreement") is entered into effective as of [DATE] (the "Effective Date"), by and between:

(collectively referred to as the "Parties").

WHEREAS, Sublessor is the lessee of the premises(s) located at [PREMISES_ADDRESS] (the "Premises") pursuant to a lease agreement between Sublessor as the "Lessee" and [LANDLORD NAME] as the "Lessor"; and

WHEREAS, Sublessor desires to sublease a portion of the Premises to Sublessee, and Sublessee desires to sublease such portion from Sublessor, subject to the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. Sublease Term

1.1 The term of this Sublease Agreement shall commence on [START_DATE] and terminate on [END_DATE] ("Sublease Term"). The Sublease Term may not extend beyond the termination date of the underlying lease agreement between Sublessor and the Lessor, unless otherwise agreed upon in writing by all relevant parties.

2. Sublease Premises

2.1 Sublessor hereby subleases to Sublessee, and Sublessee hereby hires and takes from Sublessor, a portion of the Premises located at [SUBLEASE_PREMISES_ADDRESS] (the "Sublease Premises") as outlined in the attached Exhibit A.

3. Rent

3.1 Sublessee shall pay a monthly sublease rent ("Rent") to Sublessor in the amount of [RENT_AMOUNT]. Rent shall be paid on the [DAY_MONTH] of each month, in advance, without any deductions or set-offs.

3.2 Sublessee shall make all Rent payments to Sublessor electronically using the following payment method: [PAYMENT_METHOD]. Sublessor shall provide Sublessee with the necessary payment details.

4. Security Deposit

4.1 Sublessee shall provide Sublessor with a security deposit in the amount of [SECURITY_DEPOSIT_AMOUNT], to be paid no later than [SECURITY_DEPOSIT_DUE_DATE]. Sublessor shall hold the security deposit as security for Sublessee's performance of the obligations under this Agreement.

5. Use and Maintenance of the Sublease Premises

5.1 Sublessee shall use the Sublease Premises solely for the purposes of [INTENDED_USE]. Sublessee may not use the Sublease Premises for any other purpose without obtaining prior written consent from Sublessor.

5.2 Sublessee shall keep the Sublease Premises clean, well-maintained, and in good condition. Sublessee shall promptly notify Sublessor of any damage, necessary repairs, or maintenance issues.

6. Compliance with Laws

6.1 Sublessee shall comply with all applicable laws, ordinances, regulations, and requirements related to the use, occupancy, and maintenance of the Sublease Premises.

7. Assignment and Subletting

7.1 Sublessee shall not assign this Sublease Agreement or sublet the Sublease Premises, or any part thereof, without the prior written consent of Sublessor.

8. Default

8.1 In the event of a default by either Party, the non-defaulting Party shall provide written notice of such default to the defaulting Party, specifying the nature of the default. The defaulting Party shall have [CURE_PERIOD] days from the receipt of the notice to cure the default, failing which the non-defaulting Party may pursue any available remedies under law or equity.

9. Governing Law and Jurisdiction

9.1 This Agreement shall be governed by and construed in accordance with the laws of the [STATE], without regard to its conflict of laws principles.
