DIGITAL ARTWORK LICENSE AGREEMENT

This Digital Artwork License Agreement ("Agreement") is entered into as of the Effective Date by and between [LICENSEE_NAME], with a principal place of business at [LICENSEE_ADDRESS] ("Licensee") and [ARTIST_NAME], with a principal place of business at [ARTIST_ADDRESS] ("Artist").

1. LICENSE GRANT
Artist hereby grants Licensee a non-exclusive, non-transferable license to use the digital artwork described in Exhibit A (the "Artwork") for the purposes of [LICENSED_USES].

2. LICENSE TERM
The term of this Agreement shall commence on the Effective Date and shall continue for a period of [NUMBER] months, unless earlier terminated in accordance with the terms herein.

3. LICENSE FEE

Artist represents and warrants that it has the rights necessary to grant the license to the Artwork as set forth herein and that the use of the Artwork by Licensee will not infringe upon any third party rights.

7. INDEMNIFICATION
Artist agrees to indemnify, defend, and hold harmless Licensee from and against any claims, damages, liabilities, and expenses arising out of any breach of the representations and warranties set forth in this Agreement.

8. LIMITATION OF LIABILITY
In no event shall Artist be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement.

9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [STATE], without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
